Queen Suriyothai Of Thailand Nov 19

Suriyothai was the Queen of Thailand. She was the wife of King Maha Chakraphat of Ayutthaya who reigned from 1549 to 1569. Suriyothai is considered as a Heroine of Thailand, who sacrificed her life while trying to save her husband during a battle.

King Maha Chakraphat was famous for his white elephants. He had a number of them and according to Brahminic beliefs, a monarch who had one or more white elephant was a symbol of glory and success. It is believed that King Maha Chakraphat’s reign was extremely successful.

The King ascended to the throne in 1549. After just six months, he was challenged by the King of Burma to a war. The King of Burma had a personal grudge towards the King and he wanted to capture the main city, Ayutthaya, which was the capital of Siam. During those days Thailand was called Siam.

The Siamese king could not let the challenge go and as the king, Maha Chakraphat led his army in defense of the capital. During those times women were not allowed to take part in wars. But Queen Suriyothai was concerned about her husband’s well being and wanted to be at his side during the battle. However, the King would not hear of it so Suriyothai disguised herself as a man and she joined her husband in the battlefield. During the battle, King Maha Chakraphat’s elephant was killed and taking advantage of this Burmese king tried to kill him. However, Queen Suriyothai intercepted the attack and died in the bargain. When the Burmese King found out that he had killed a woman, he was extremely ashamed and immediately withdrew from the battle; leaving Ayutthaya to Siam.

The queen was looked upon as a heroine for sacrificing her life to save her husband’s and is still venerated and revered in Thailand for her bravery.

Thailand Festivals – The Best Time to Visit Thailand And Enjoy Their Famous Festivals Nov 18

Thailand is abundant with festivals and quite honestly there is no time of year when you cannot find a festival to enjoy, however here are some of the more popular festivals around Thailand throughout the year.

Beginning the year, the month of January offers the Chiang Mai Winter Fair in Chiang Mai and the River of Kings Festival in Bangkok. The Chiang Mai winter fair offers booths, music, competitions, and even beauty pageants, while the River of Kings festival is a bit more formal with a theatrical production describing the history of Thailand.

August celebrates the nationwide Birthday of Her Majesty the Queen.

September is the world famous Phuket Vegetarian Festival (famous for the gory displays of people impaled by a variety of objects and not for the faint of heart) and the significantly less gory Phichit Boat Races along the Nan River.

There are a million reasons to visit Thailand, such as the tropical rainforest’s of the north, the Bridge over the River Kwai to the west in Kanchanaburi or the soft white sand of the beaches to the south to name a few. Many travelers who head south are searching for a perfect paradise, a place with deserted beaches fringed by green palm trees and soft white sand to bury their toes into. The reality however is they will end up on a beach just as packed with tourists as their flight was there.

In southern Thailand you can find many beaches. Some will be packed with tourists, jet skies and banana boat rides while others will be hidden paradise. Now if you want the jet skies and banana boats then things are easy but if you seek out that little corner of paradise then you need to do a little more work. Holiday planning should be the most essential part of any holiday and it should entail more than a visit to your local travel agent to pick up some brochures.

7 Points To Great Holiday Research

Decided on what type of holiday you want, beach, city or forest break. If you want a combination of these then do the following 6 steps for each destination.
Note down 5 phrases or words that come to mind when you think about your chosen destination.
Put these phrases into Google or any other search engine you may use and have a look at the first page results, then ignore them.
Move to page 2 and 3 and working your way down ignore hotel booking services and visit the web sites that seem like information pages and have some relevance to your searched term or phrase.
Look for locations on these web pages that maybe you have never heard about or read about and take a note of the name.
Search for this unknown location and take note of the number of pages with the term.
The location with the least number of pages should now be your focus for your next holiday destination.

The Steps In Action:

Just in case you are not aware, I’m in love with Thailand beaches. When i think about them I get images of white sand, palm trees, blue waters, cool breeze and deserted beaches. I put these terms into my chosen search engine, Google for me, and here is what I find.

White sand Thailand returns 2.35 million results moving on to page 2 I ignore hotel booking service sites and see about half way down the page Amazing-Thailand.com – Tropicals Islands in Thailand a quick scan produces two possible locations, Koh Larn and Koh Turatao. The later returns 1,380 results and Koh Larn shows 55,400 pages. I now have my first holiday research place, Koh Turatao.

A word of warning about finding deserted beaches. These areas will often be far from any commercial outlets, medical centers or English speaking locals. This can be paradise when things go good but if the unthinkable happens and you take ill or get injured finding help can be a difficult task, just remember this before you head off into the unknown.

Finally, I would like to ask that in your research you do come across that perfect paradise then please keep it to yourself. There has been many paradise locations spoiled after someone has found it then wrote a post on some travel forums about their experience. Let others find hidden treasures, it really can make for the best possible holiday ever.

Property Tax in Thailand Nov 13

On 13 September 2005, the Thai Government approved a proposal to reintroduce tax incentives similar to those that were in place for the three years ending 2003.

Incentives for sales of second-hand houses

Thailand

The incentives approved for re-introduction apply to sales of second-hand housed by individuals, and are similar to the incentives that previously applied for the three years to 2003. Whilst the incentives have not yet been enacted into law, it has been announced that the incentives will apply for the two financial years to 31 December 2007.

Stamp duty exemption

Thai law prescribes that stamp duty at the rate of 0.5% of the actual sales price or the appraised value of the Lands Department (whichever is the higher) is payable on a transfer of any right in an immovable property.

The Government approved, for persons selling a house or a condo and who buy a new house or condo within one year of the sale, the stamp duty will be exempted.

Transfer fee reduction

A transfer fee is payable at the rate of 2.0% of the actual sales price or the appraised value of the property by the Lands Department (whichever is the higher). The Government approved, for persons selling a house or condo and who buy a new house or condo within one year of the sale, the transfer fee will be reduced from 2.0% to 0.01%.

Mortgage registration fee reduction

The Thai law prescribes that a mortgage registration fee at the rate of 1.0% of the total mortgage value is payable to the Lands Department. Similarly to the above, the Government approved, for persons selling a house or a condo and who buy a new house or condo within one year of the sale, the mortgage registration fee will be reduced from 1.0% to 0.01%

Protection from abusive practices

For the above incentives to be claimed, persons must have their names entered on the household registration documents for at least one year after the purchase of the new property. Otherwise, the incentives will not apply, and the affected persons would have to pay the fees and taxes, together with penalties and surcharges at the rates prescribed in law.

Taxes on property sales

Sales of immovable property are subjects to personal taxes, where persons make such sales for a commercial purpose. The amount of the tax depends on the period of time the person was the owner of the property. The percentage subject to tax varies from 8% to 50%, and the taxes are applied to the taxable value at the progressive personal income tax rates ranging from 10% to 37% (the first 100,000 Baht being exempt from tax).

We wish to remind our readers that from January 2003, Section 42 of the Revenue Code was amended so as to exempt personal income taxes on the sale of immovable property that are principal residences and where another principal residence is purchased within one year.

You might have heard about Thailand. You may have heard something good or bad about it. Well, that is common to most of the countries, isn’t it? Despite the political turmoil in it, Thailand is still an interesting country. Let’s start with the geography of the country.

The country is located in Southeast Asia. It is considered a Buddhist country since 80-90 per cent of the populations are Buddhists. The country used to be known as Siam for centuries. If you have watched the movie “The king and I”, you will understand.

The size of the country is similar to the size of France or may be the size of Texas in the States. It covers the area of 510,000 square kilometers. The population is around 65 million people. The country has the population of around 65 million people. It has shared borders with Myanmar in the west and north, with Laos in the northeast, with Cambodia in the east and with Malaysia in the south.

Thailand has a shape of an old styled axe. It is divided into seven regions including the North, Northeast, Central Plains, East, West, and the Bangkok Metropolitan Region. Each of which has its own distinctive geographical character.

The capital of Thailand is Bangkok. It is more or less located at the center of the country. The city is known by many perspectives ranging from its rich culture with beautiful temples to being a place of notorious night spot like Patpong.

The northern part of Thailand has of a lot of mountains. It is the largest area of the country. Here, you can see elephants work in the forest. The major cities that people visit in the north include Chiang Mai and Chiang Rai. The second largest area is northeast. The area is largely bordered by the Mekong River. It has the world’s oldest Bronze Age civilization which flourished some 5,000 years ago.

As for the south of the northeast lies the eastern region. It has the border to the sea. This is where pristine beaches support the growth of summer resorts such as Pattaya.

The west of Thailand consists of many beautiful mountains. They rise up towards the Burmese border. The resources here are in lush valleys and some remain relatively unspoiled. The towns here have a frontier atmosphere.

The last part of the country located down south. Here, you can see scenic beauty which complements the economically vital activities of tin mining, rubber cultivation, and fishing.

Choice of Legal Entity Structure in Thailand Nov 08

Private limited company

By far the most prevalent form of entity that is used in Thailand is the private limited company. A private limited company is simply a company that has at least 3 shareholders (all of which can be US nationals and/or corporations once the Treaty privileges are invoked) and at least 1 director who is resident (domiciled) in Thailand (who may also be a US national).

Thailand

The liability of the shareholders is limited to the amount of the private limited company’s share capital. The shareholders appoint director(s), who act according to a registered set of articles and memorandum of association, both of which remain under the control of the shareholders.

The business activities of a Thai private limited company are set out in its memorandum. The activities are usually drafted in very wide terms and provided the memorandum does not allow any of the 6 restricted business activities under the Treaty, a private limited company would usually be able to undertake virtually any kind of activity that a US corporation would require of it to undertake in Thailand. But whilst a private limited company is the most widely known and most common form of doing business in Thailand, it may not be the most advantageous structure for tax.

As the activities of a private limited company are revenue-generating activities, it is therefore liable to all the corporate and transaction taxes payable by taxable entities in Thailand, the two main ones being corporate income tax, which is payable at the rate of 30% of the net income earned by the entity plus profits remittance tax at the rate of 10% of net profits remitted out of Thailand (equating to 37% income tax on net income), and VAT at the current rate of 7% on all sales of goods or provision of services by the Thai private limited company.

Representative office

In terms of its legal attributes, a representative office entity is the same as a branch office, i.e. an arm of the US corporation that forms it. But whereas a branch office conducts activities for commercial gain (i.e. for revenue-generating purposes), a representative office conducts its activities for its head office only – not for any consumer, i.e. a representative office conducts non revenue-earning activities. And as the activities are non revenue-earning, the Thai Revenue Department has prescribed that provided a representative office complies with the rules and conditions for representative offices, it shall not be subject to either income tax in Thailand or VAT in Thailand.

A representative office entity in Thailand is the right tax-effective and cost-effective choice for a US corporation carrying out any non revenue- earning activities in Thailand, such as:

Sourcing goods and services in Thailand for the US corporation.
Checking and controlling goods purchased or goods manufactured in Thailand for the US corporation.
Providing information and advice in relation to goods sold or services provided by the US corporation to consumers in Thailand.
Propagation of information concerning new goods or services of the head office; and/or
Reporting on matters in Thailand to the US corporation.

The above activities are those listed in the Thai Commerce Ministry guidance for representative offices, and in the case of a US corporation’s activities in Thailand not exactly fitting into the guidance, but are nevertheless, non revenue- generating activities (such as, for example, a US corporation is required to research/gather information in Thailand and report back to the US head office only), it would be a worthwhile exercise to seriously consider a representative office entity for the activity in Thailand.

Branch office

Similarly to a private limited company entity, a Thai branch office of a US corporation would usually be able to undertake virtually any kind of activity that a US corporation would require it to undertake in Thailand (except for, of course, the six restricted business activities under the Treaty).

But unlike a private limited company, a branch office is the exact same legal entity as the US corporation that forms it, and therefore, a US corporation forming a branch office assumes all liability for the operations of the branch office in Thailand.

That being said, however, if it is the case that the business activities in Thailand requires the US corporation’s guarantee of performance of the activities in Thailand and/or the activities in Thailand will be conducted for a finite period of time after which time the activities in Thailand would cease (for example, business activities involving a particular project to be carried out for a period of time in Thailand) then a branch office entity could be a bit more favorable.

A branch office in Thailand pays the same 30% rate of corporate income tax as a private limited company plus the same 10% profits remittance tax (making the total income tax payable equal to 37%) and the same rate of VAT (current rate of 7%) on all sales of goods and provision of services by the branch office.

But whilst there are no major Thai tax payable differences between a branch office and a Thai private limited company, an exit from a branch office entity in Thailand is far less cumbersome, far less time consuming and therefore far less than an exit from a Thai private limited company entity, which is required to comply with all the legal dissolution and liquidation procedures prescribed in the Thailand Civil and Commercial Code.

Regional office

Unlike for a branch office and the similarly for a representative office, the Thailand Revenue Department has prescribed that regional office entities in Thailand are not subject to corporate income tax or VAT in Thailand.

And similarly as for representative offices, the Thailand Ministry of Commerce has prescribed that regional office entities shall not undertake activities in Thailand for commercial gain, but shall undertake non revenue-earning activities for the head office company only.

The prescribed non revenue-earning activities for regional office entities are as follows:

Coordination or supervision of operations;
Consultation or management services;
Personnel training or development;
Financial management;
Marketing & sales promotion management;
Product development; and
Research and development services.

Finally, for a US corporation that is carrying out the types of business activities listed above for regional offices, but those activities are being conducted for commercial gain, i.e. a charge is made by the regional office to the branches or affiliated companies in SE Asia for the services rendered to them by the regional office, the US corporation would be wise to consider a type of legal entity in Thailand known as a Regional Operating Headquarters (ROH).

An ROH entity in Thailand has the same legal attributes as a private limited company, but it is additionally registered as an ROH entity under the Thai Revenue Code, which provides ROH entities the following exceptional tax privileges:

0% income tax on income generated from branches/affiliates outside Thailand; and
10% income tax on income generated from branches/affiliates in Thailand.

should note that whilst the Treaty of Amity may override the Thai FBA in relation to ownership, it does not however override the Thai FBA in relation to the minimum capital requirements of foreign entities in Thailand.

Thus, for any of the legal entities of company, branch office, representative office or regional office, a minimum amount of Bt 3 million (or about 0,000) is required for establishment of the entity in Thailand. This minimum amount of Bt 3 million forms the “capital” of the entity (similar, if you like, to share capital), it shall be actually remitted into a Thai Baht bank account (you cannot hold this sum in a USD account in Thailand) and it is required to stay in Thailand under the termination of the entity in Thailand, but of course, it can be used for the purposes of the entity.

For an ROH in Thailand, the minimum amount of capital is increased to Bt 10 million (or about 0,000).

Minimum capital requirements for each non-Thai (foreign national) employee in Thailand

You need to note however, that in addition to the minimum capital requirements under the Thai FBA, Thailand’s Foreign Employment Act prescribes that for work permit and immigration purposes, the employer entity in Thailand shall have paid-up capital of at least Bt 2 million (or around ,000) per foreign national employee (including US national employee) in Thailand.

Thus, in addition to meeting the required capital amount of a minimum of Bt 3 million stipulated under Thailand’s Foreign Business Act, if a US corporation will be seconding foreign nationals (including US nationals) to work as employees of the entity in Thailand, the entity in Thailand will be additionally required to meet the Foreign Employment Act requirement and have at least Bt 2 million of paid-up “capital” in Thailand for each foreign national employee.

The Boat races are held in Thailand every year during the month of September when all the rivers and waterways are in full spate. The races are held across the country specially in provinces of Pichit, Phitsanulok, Narathiwat, Nan, Angthong, Pathum Thani, Surat Thani and Ayutthaya.

The boat racing is a traditional event in Thailand. History of boat racing goes back to Ayutthaya kingdom, some 600 years ago. During those times the boat races were held to keep men physically and mentally fit during times when there were constant shadows of war looming over the country. However, today boat races are entertainment and boat racing is considered to be a national sport.

The boats used in boat racing are constructed from a single large trunk of a dugout tree. Each boat can accommodate a maximum of 60 oarsmen. The oarsmen sit in two rows in order to make the boat move with maximum speed. Each boat is given a different colored dress. All oarsmen in a boat wear a similar outfits. During the race, the boats are decorated with a large number of flowers and ribbons.

The boat race is a colorful festival, which attracts several local as well as the foreign spectators. The spectators watch the sport with utmost enthusiasm and this lasts right till the end of the race with spectators cheering their favorite team. The impromptu narration of the professional announcer makes the sport all the more interesting and the spectators have a plenty of fun during the sport. At the end of the race, the winning team is awarded a trophy and prize.
